EQS-PVR: adesso SE: Release according to Article 40, Section 1 of the WpHG [the German Securities Trading Act] with the objective of Europe-wide distribution

On February 14, 2025, Mr. Michael Hochgürtel, makeideashappen GmbH and MIH Hochgürtel GmbH & Co. KG informed us with the following notification pursuant to Section 43 (1) WpHG in connection with the exceeding of the 10% threshold on February 3, 2025:

1. the exceeding of the threshold results from an attribution of voting rights pursuant to Section 34 WpHG. The shares held by the company (1.75%) serve to generate trading profits.
2. the notifying parties do not plan to acquire further voting rights within the next 12 months.
3. it is not intended to exert any influence on the composition of the issuer's administrative, management and supervisory bodies.
4. it is not intended to significantly change the company’s capital structure, in particular with regard to the ratio of equity and debt financing and the dividend policy.
5. the threshold was exceeded due to acting in concert and without the use of funds.
